About these terms

These terms describe how LexoraTech — a registered partnership based in Sri Lanka — provides software development services. They apply to all engagements unless a separate written agreement supersedes them.

How we engage

Every project begins with a written scope document that defines what will be built, what “done” means, the delivery date, and the price. No work begins before the scope is agreed in writing by both parties and the first payment is received.

Pricing and payment

All prices are quoted in USD. An invoice is issued before each payment. Payment is by international bank transfer; bank details are shown on the invoice.

The 5-Day Build is billed 50% on scope sign-off and 50% on delivery. For larger projects, payment milestones are defined in the scope document.

Delivery and scope

Delivery applies to the agreed scope only. Features not in the written scope are not included. Changes to scope after approval may change the timeline and price and are quoted in writing before any work begins on them.

Delays caused by client-side approvals, missing content or assets, third-party service outages, API access issues, app-store review, hosting configuration, or other external dependencies do not count as development delay on our part.

What “not doing what we agreed” means

A defect is: agreed functionality that does not work according to the approved scope document, or an agreed feature or acceptance criterion that is materially absent at delivery. Subjective dissatisfaction with approach, design, or wording that was approved during scoping is not a defect.

Code ownership

On receipt of final payment, you own the source code outright. It is in your repository, under your account, from the first commit. There are no licensing fees, no per-seat charges, and no hosting lock-in to us.

Post-delivery fixes

For the 5-Day Build, 30 days of defect fixes are included after handover at no additional charge. Fixes for defects outside the agreed scope, or for issues caused by changes made after delivery, are quoted separately.

Limitation of liability

Our liability is limited to the fees paid for the engagement in which the issue arose. We do not accept liability for indirect loss, loss of business, loss of data, or consequential damages. We do not guarantee that the software will be free from all defects after the 30-day fix period.

Confidentiality

We treat information you share during a project as confidential. We do not share it with third parties except as required to deliver the project (for example, with cloud service providers). We will sign a mutual NDA on request.
